1. Definitions

In these terms, the "Platform" means the Jodfay Solutions website, applications, APIs, and client portal. The "Services" means everything the platform provides: subscription digital employees, human digital services, automation projects, website agents, and any related add-ons. The "Client" or "you" means any natural or legal person using the platform or contracting for any of its services.

2. Scope of Service

Jodfay Solutions provides four categories of services: (a) digital employees offered on a monthly or yearly subscription, which Jodfay sets up, trains, operates and monitors; (b) digital services executed by a professional human team under fixed-scope packages; (c) custom automation projects delivered under a scope, price and timeline agreed in a quotation; and (d) website agents built specifically for the client and delivered under either a full-ownership model or a managed monthly operating model.

The capabilities of digital employees and AI agents are described on each product page, and anything expressly stated as out of scope is not part of the service. The quality of AI outputs depends in part on the completeness and accuracy of the information the client provides.

3. Accounts and Eligibility

To create an account you must be at least eighteen years old with full legal capacity, or an authorized representative of a duly established entity. You undertake to provide accurate, up-to-date information at registration and to keep it updated.

You are responsible for the confidentiality of your login credentials and for all activity under your account. Notify us immediately through support channels if you suspect any unauthorized use of your account; we are not liable for damage resulting from negligence in protecting your credentials.

4. Orders, Execution and Delivery

Digital employee subscriptions start after the onboarding wizard is completed and we receive the required information; typical setup takes 3 to 7 business days. Digital service packages are executed according to the deliverables, revision rounds, and delivery times stated in each package.

Automation projects and website agents proceed through milestones agreed in the quotation (discovery, quotation, phased delivery, warranty), and the client's approval of each milestone is a condition for moving to the next. Any delay by the client in providing required information or approvals extends delivery dates by the duration of the delay.

5. Payment, Renewal and Invoicing

All prices are in Saudi Riyals and exclude Value Added Tax (15%) unless stated otherwise; VAT is added at invoicing. All our invoices are issued as tax invoices compliant with ZATCA requirements, including the QR code.

Subscriptions renew automatically at the end of each billing cycle (monthly or yearly) unless you cancel renewal before the cycle ends via the client portal. You may upgrade or downgrade at any time with prorated billing of the difference.

We may adjust prices by notifying you at least 30 days before the new price takes effect; adjustments apply only from the next billing cycle. Setup fees — where applicable — are one-time and non-refundable once setup work has started.

6. Intellectual Property

The platform, its software, models, designs, and trademarks remain the exclusive property of Jodfay Solutions or its licensors. Using the platform grants you only a limited, non-exclusive, non-transferable right of use for the duration of the engagement.

Ownership of final deliverables of digital service packages that include "full commercial rights" transfers to you upon full payment. For website agents under the full-ownership model, ownership of the custom code, knowledge base, and delivered documentation transfers to you upon full payment, while Jodfay retains ownership of its general reusable tools and components.

You retain full ownership of the content and data you provide to us, and you grant us a limited license to use them solely for delivering the service.

7. Acceptable Use

You undertake to use the services in compliance with the laws in force in the Kingdom of Saudi Arabia. In particular, you must not:

• Use digital employees or agents to send spam, misleading content, or unlawful material
• Attempt to breach the platform, bypass its security controls, or reverse-engineer its components
• Resell or sublicense the services to third parties without our prior written agreement
• Provide the platform with data you are not legally entitled to share or process
• Use the services in any activity requiring a regulatory license you do not hold

8. Service Levels and Support

We use commercially reasonable efforts to keep the services available around the clock, excluding scheduled maintenance windows notified in advance where possible. Support channels and response times vary by subscribed plan, as described on each product page.

9. Warranties and Limitation of Liability

The services are provided as available, and we do not warrant that they will be entirely free of interruption or error. AI outputs may contain mistakes or inaccurate information, and the client is responsible for reviewing material outputs before relying on them in consequential decisions.

To the extent permitted by law, Jodfay Solutions's aggregate liability for any claim arising from the services shall not exceed the total amounts actually paid by the client for the service giving rise to the claim during the twelve months preceding the event, and we are not liable for indirect or consequential damages or loss of profit.

This limitation does not apply where liability cannot be limited by law, such as liability arising from fraud or gross misconduct.

10. Suspension and Termination

We may suspend or terminate the service in whole or in part upon a material breach of these terms, payment overdue by more than 14 days, or an order of a competent authority — with notice to you and a reasonable cure period where the breach is curable.

You may terminate your subscription at any time from the client portal; termination takes effect at the end of the current billing cycle in accordance with the Refund Policy. Upon termination, we enable you to export your data for 30 days before it is deleted in accordance with the Privacy Policy.

11. Changes to These Terms

We may update these terms from time to time. The updated version is published on this page with its last-updated date, and we notify you of material changes by email or an in-platform notice a reasonable period before they take effect. Continuing to use the services after a change takes effect constitutes acceptance of it.

12. Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws in force in the Kingdom of Saudi Arabia. The parties shall first seek to settle any dispute amicably within 30 days of written notice of it; failing that, the competent judicial authorities in Riyadh shall have jurisdiction.
